Define what income is involved

Before comparing offers, identify whether the funding is against master income, publishing income, a catalogue, or a mix. Confirm which works and recordings are included, which territories apply and whether collaborators have interests that need consent.

A title such as “royalty advance” does not explain the legal substance. The written agreement does.

Build a document checklist

Collect catalogue lists, identifiers, prior agreements, recent statements, split sheets and tax information. Incomplete records can lead to a valuation based on assumptions or create disputes after closing.

Ask how deductions, commissions, reserves, exchange rates and reporting are handled. If you cannot follow the calculation, ask for a plain-language explanation and a worked example.

Protect time for review

Do not let an urgent payment request replace due diligence. Ask about exclusivity, security interests, audit rights, assignment, early repayment and what happens if a platform or rights claim changes.
